General Terms and Conditions

Version: September 2026 · Pitch & Pivot Expert – Michael Lederer · valid for all purchases and services under "Schnauze.Digital"

This is a translation for convenience; the German version is legally binding.

1. Scope & Contractual Partner

These terms and conditions apply to all contracts between Pitch & Pivot Expert – Michael Lederer (sole proprietorship, Pallenbergstraße 11, A-1130 Vienna, Austria, VAT ID ATU83686245, GISA 39455833 – hereinafter "provider") and its customers ("customer"). Deviating terms and conditions of the customer apply only with explicit written consent.

Covered in particular: the purchase of digital online courses and PDF products (sections 2–7), web packages and add-ons (section 8), monthly retainer services (section 9) and AI services (section 10).

2. Conclusion of Contract for the Purchase of Digital Products

  • The presentation of the courses on the website is a non-binding invitation to place an order.
  • The customer submits their offer by completing the paid purchase in the Stripe payment service.
  • The contract is concluded upon successful payment confirmation and the dispatch of the purchase confirmation by email.
  • The language of the contract is German. The contract text (order, invoice) is stored and sent to the customer by email.

3. Prices, Promotional Prices & Strike-Through Prices

All course prices are final prices in euro including statutory value-added tax. If the website shows a strike-through price, this is the regular price of the product; the promotional price is limited until the stated date. Regular price, discount and final amount are shown separately in the Stripe checkout and on the invoice.

Prices for services (web packages, add-ons, retainers, C-level board) are net plus VAT; for EU customers subject to VAT, reverse charge applies. Price changes for future orders remain reserved; the price confirmed at the time of purchase always applies to completed purchases.

4. Payment, Invoicing & Payment Service Provider

  • Payment for digital products is made exclusively in advance via Stripe Payments Europe Ltd. (credit card and, where offered, other methods available there).
  • For every purchase, an invoice with the exact product designation, price, stated promotional discount and value-added tax is created automatically and sent by email.
  • For services: payment term 14 days net from the invoice date; in the event of default, statutory default interest as well as reminder and collection costs apply.
  • In the event of a payment reversal (chargeback), access to the digital content is blocked immediately.

5. Provision & Access to the Learning Centre

Online courses are provided exclusively digitally in the learning centre (login via magic link to the purchase email address). Pure PDF products are delivered via a personal, time-limited download link.

  • Access is personal and non-transferable (one person per purchase, no team or multi-seat use).
  • Access is granted without a time limit and applies for as long as the offer exists, but at least 24 months from purchase. If the offer is discontinued, the content is provided as a download.
  • Technical requirements: current browser, internet connection, PDF reader.
  • Short maintenance windows or outages of third-party providers do not entitle the customer to a price reduction.

6. Right of Withdrawal for Digital Content

Consumers generally have a 14-day right of withdrawal. For digital content not delivered on a physical data carrier, this right expires as soon as the provider has begun performance and the customer

  • has expressly consented to immediate performance, and
  • has confirmed their knowledge that they thereby lose their right of withdrawal.

This confirmation is explicitly obtained and documented in the Stripe checkout (§ 356(5) BGB / § 18(1)(11) FAGG). With the activation in the learning centre or the provision of the download, the purchase is thereby binding.

A withdrawal – as long as performance has not yet begun – is to be declared in text form to ml@schnauze.digital. Refunds as a gesture of goodwill are at the provider's discretion and do not establish a legal entitlement.

7. Copyright, Rights of Use & Legal Consequences of Violations

All content – courses, videos, texts, workbooks, PDFs, templates, checklists, prompts, graphics, audio, software, structure and design – is protected by copyright. All rights belong exclusively to Michael Lederer / Pitch & Pivot Expert.

Upon purchase, the customer receives a simple, non-exclusive, non-transferable and revocable right of use for personal use in their own business. Templates may be adapted and used for the customer's own business. Reselling or passing on the templates as an independent product is excluded.

Expressly prohibited:

  • any reproduction, copy, recording, series of screenshots or mirroring of the content beyond private use;
  • sharing, selling, renting, lending or exchanging the content, access data or download links – even in part;
  • publication or upload to networks, clouds, forums, social media, file-sharing services or AI training datasets;
  • use of the content for one's own courses, coaching, training or consulting products of third parties;
  • removal or alteration of copyright, trademark or watermark notices;
  • joint use of one access by several persons or businesses.

Legal consequences: In the event of a violation, access is blocked immediately without refund. The provider expressly reserves the right to take immediate legal action – in particular paid cease-and-desist letters, claims for injunctive relief, interim injunctions, claims for damages and information as well as criminal or private prosecution under § 91 Austrian Copyright Act / § 106 German Copyright Act. The provider uses technical measures to enforce its rights (including personalised download links, access logs and individualised marking of the PDFs).

For each culpable violation of the above prohibitions, an appropriate, judicially reviewable contractual penalty is agreed – vis-à-vis businesses; the assertion of damages exceeding this remains reserved.

8. Web Packages, Add-ons & 40/40/20 Payment Model

The scope of services results from the selected package (Starter, Professional, Premium) and the add-ons according to the order summary in the configurator. Usually included are concept, design, technical implementation, GDPR-compliant configuration, EU hosting setup and legal text templates. Content (texts, images, logo) is provided by the customer unless content creation has been commissioned. A specific design or ranking is not owed.

  • 40% on commissioning – prerequisite for the project start.
  • 40% on design approval.
  • 20% on go-live – final invoice.

Rights of use to the created website are transferred to the customer only upon full payment. Templates, components, scripts and AI configurations used by the provider remain its property and are licensed only for use within the scope of the project.

To ensure personal support, a maximum of 15 new web package customers are accepted per month; further enquiries are placed on a waitlist. Delays caused by the customer's late cooperation postpone the delivery date accordingly.

9. Monthly Support Retainer & C-Level Board

  • Maximum retainer: €599/month net (price cap for cost certainty).
  • Billed monthly in advance, automatically via Stripe.
  • Minimum term 3 months, thereafter cancellable at any time with 14 days' notice to the end of the month (text form to ml@schnauze.digital).
  • Protocols, analyses and recommendations of the C-level board are entrepreneurial decision aids, not legal, tax or business consulting within the legally regulated sense.

After cancellation, the website remains the customer's property; domain and hosting can be transferred upon request.

10. AI Phone Assistant & AI Services

AI assistants and voice widgets are based on third-party providers (among others ElevenLabs, Lovable AI Gateway with Google Gemini / OpenAI). Availability and answer quality depend on these providers; 100% availability cannot be guaranteed.

AI outputs are non-binding and do not replace professional, legal, tax or veterinary advice.

11. Liability, Warranty & No Guarantee of Success

The provider is liable for intent and gross negligence. Liability for slight negligence is – except for personal injury – excluded and limited in amount to the order or purchase value.

Courses convey practical knowledge. A specific economic success, revenue or customer growth is expressly not owed; implementation is the customer's responsibility. Legal templates do not replace individual legal advice (see /haftung).

12. Data Protection, Choice of Law & Final Provisions

The processing of personal data takes place in accordance with our privacy policy. Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods; mandatory consumer protection provisions of the country of residence remain unaffected. The place of jurisdiction for businesses is Vienna.

EU dispute resolution platform: https://ec.europa.eu/consumers/odr. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

Should individual provisions be invalid, the validity of the remaining provisions remains unaffected; invalid provisions are replaced by the statutory regulation. · English translation of the German AGB.
